Incorporation of a new company

Incorporating a business is an exciting new step for business owners made up of several steps:

    1. Selecting your corporate name (either word name through custom incorporation or numbered)
    2. Creating your articles of incorporation (including your corporate name, share structures, number of directors, etc.)
    3. Identify the first established office address and board of directors
    4. Submitting to Corporations Canada for approval

Our team can help guide you through these steps effortlessly and submit your documents through the Corporations Canada filing centre on your behalf. Simplifying the process and doing it right so you can start tending to your business faster.

Facilitation of annual general meetings

It is required by all corporations in Canada to file their returns annually, which includes submitting a record of the Annual General Meeting. Otherwise, failing to submit on time may put the corporation up to be dissolved.

The Annual General Meeting form breaks down the names, addresses, and percentages of issued voting shares for each member, alongside your company’s information and any changes to its members. Our team can help facilitate this process, making sure all the information is in order for your organization’s current fiscal year.

Processing annual returns

As required by the CRA, corporations have to file their corporate annual returns every year within 6 months of their year-end date. Our team can assist with making sure all documents are in order and ready to be processed into the Corporate Registry.

Facilitation of a change in directors

Depending upon your corporation’s bylaws and policies, your directors can be voted in, out, and/or changed around during the annual general meeting. Each year there are changes to the structure of a board and their shares, these changes need to be recorded and properly filed to the corporate registry. Our team is here to work with you and your directors to make sure that the reallocations of shares and information for each board member is properly documented in your annual return. 

Dissolution of corporation

When a corporation has no property or liabilities it may apply to be dissolved in Canada. Depending on if a corporation has multiple shareholders but still no property or liabilities, the corporation may approve the dissolution by special resolution. After which, our team can assist in filing the certificate of intent to dissolve the corporation.

Likewise, for corporations who have submitted their intent to dissolve and no longer wish to dissolve, we can assist in submitting a certificate of revocation of intent to dissolve to help halt the dissolution process.
